Terms of Service
These Terms of Service ("Terms") are a binding agreement between you ("you," "your," "User") and Halcyon One LLC, a limited liability company organized under the laws of the State of Wyoming, United States, doing business as Halcera ("Halcera," "we," "us," "our"). They govern your access to and use of the Halcera platform, website at halcera.com, the dashboard application, and all related services (together, the "Platform").
By submitting an access application, creating an account, purchasing credits, or otherwise using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
1. What Halcera is
Halcera is a paid, vetted-access web performance platform. It lets verified operators connect digital properties (such as websites, blogs, and public profiles), receive a unified Performance Score with breakdowns across multiple dimensions, view AI-generated insights and recommendations, and optionally commission on-demand performance enhancements from a curated marketplace using prepaid credits.
The Platform is a software and data product. It is not a marketing agency, a social media service, or a financial product. Credits are a prepaid mechanism for accessing features and commissioning services on the Platform, as described in Section 5.
2. Eligibility
To use the Platform you must:
a. be at least 18 years old and able to form a binding contract;
b. complete our access application and be approved through our manual onboarding review (Section 3);
c. not be located in, or a resident of, a country or territory subject to comprehensive sanctions, and not be a person with whom we are legally prohibited from dealing (see our AML / KYC Policy); and
d. provide accurate, current, and complete information during application and keep it updated.
We may refuse, suspend, or terminate access at our discretion, including where eligibility cannot be verified.
3. Access by application and manual onboarding
Halcera is invite-vetted. Access is not automatic. To use the dashboard you must:
a. submit an access application through the Request Access form;
b. pass our manual onboarding review, which is a human review intended to verify identity, plausibility of use case, and compliance eligibility (see our AML / KYC Policy); and
c. complete your first credit pack purchase.
We target a review response within 24–72 hours but do not guarantee any timeframe. Approval is at our sole discretion, and we are not obligated to give reasons for a decline. Submitting an application does not create an account or any entitlement to access.
4. Accounts and security
You are responsible for safeguarding your account credentials and for all activity under your account. Accounts are for the approved individual or entity only and may not be shared, resold, or transferred without our written consent. Notify us promptly at support@halcera.com of any unauthorized use. We may suspend an account to protect the Platform or other users.
5. Credits, packs, and access windows
5.1 Nature of credits
The Platform operates on prepaid credits. Credits are a limited-license access mechanism that lets you use paid features and commission enhancements on the Platform. Credits:
a. are denominated only for use within the Platform;
b. have no cash value outside the Platform except under the limited refund rights in our Refund Policy;
c. are not money, electronic money, a deposit, a security, or a stored-value instrument redeemable for cash;
d. are not transferable between accounts; and
e. may expire in accordance with the access window of the pack through which they were purchased.
5.2 Packs and access windows
Credits are sold in packs, refills, data unlocks, feature unlocks, and custom-amount top-ups. Each pack specifies the number of credits and, where applicable, an access window during which the associated dashboard access and credits remain valid. Prices, credit amounts, and access windows are shown at the point of purchase and may change over time; changes do not affect purchases already completed.
5.3 No subscriptions
All purchases are one-time. Halcera does not offer subscriptions and does not automatically renew, auto-bill, or recurring-charge any payment method. You will only ever be charged when you actively choose to make a purchase. If your access window lapses, you may purchase a new pack to restore access; nothing is charged automatically.
5.4 Payment
Payments are processed by third-party payment processors. By purchasing, you authorize the applicable charge and represent that you are authorized to use the payment method. Statement descriptors will reference "HALCERA" with a descriptor matching your purchase type. You are responsible for any taxes that apply to your purchase except taxes on our net income.
5.5 Refunds
Refunds are governed by our Refund Policy, which is incorporated into these Terms. In summary: a full refund is available within 7 days of your first purchase; unused credits may be refunded at 80% of their remaining value within 30 days; and enhancement orders that fail to deliver are refunded as credits with a goodwill adjustment. The Refund Policy controls in case of any conflict with this summary.
6. The enhancement marketplace
6.1 What enhancements are
The marketplace offers on-demand web-performance enhancements (organized as Visibility, Reach, Engagement, Technical, and Insight services). Each enhancement has a description, a credit cost, a typical delivery time, and an indicative expected impact. Enhancements are fulfilled by Halcera and/or vetted operators in our fulfillment network.
6.2 Indicative results, not guarantees
Performance Scores, sub-scores, percentile figures, and expected-impact ranges are analytical estimates derived from available signals. They are informational and not guarantees of any specific outcome, ranking, traffic, revenue, or result. You remain responsible for how you use the Platform and any enhancement.
6.3 Delivery and failed orders
We will use commercially reasonable efforts to deliver within stated windows. If an enhancement order fails or cannot be delivered, the credits are returned to your balance in accordance with the Refund Policy.
6.4 Your responsibility for the properties you submit
You represent that you own or are authorized to manage every property you connect or submit for enhancement, and that doing so does not violate any third-party terms, platform rules, or law. Your use of the marketplace must comply with our Acceptable Use Policy.
7. Acceptable use
Your use of the Platform is subject to our Acceptable Use Policy, which is incorporated into these Terms. You agree not to use the Platform for any unlawful, deceptive, or abusive purpose, not to submit properties you do not control, and not to attempt to disrupt, reverse engineer, or circumvent the Platform.
8. Intellectual property
The Platform, including its software, design, scoring methodology, content, and trademarks, is owned by Halcera or its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform for its intended purpose during your active access window. You retain ownership of the data and content you submit, and you grant us a license to process it as needed to provide the Platform and as described in our Privacy Policy.
9. Third-party services and data sources
The Platform may rely on, link to, or integrate third-party services and public data sources. We are not responsible for third-party services, and your use of them may be subject to their own terms.
10. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT SCORES, INSIGHTS, OR ENHANCEMENTS WILL PRODUCE ANY PARTICULAR RESULT.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HALCERA AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE 90 DAYS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12. Indemnification
You agree to indemnify and hold harmless Halcera from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Platform, your submitted properties or content, or your breach of these Terms or applicable law.
13. Suspension and termination
We may suspend or terminate your access at any time for breach of these Terms, suspected fraud or abuse, legal or compliance reasons, or risk to the Platform. You may stop using the Platform at any time. On termination, unused credits are handled under the Refund Policy; provisions that by their nature should survive (including Sections 8, 10, 11, 12, 14, and 15) will survive.
14. Changes to these Terms
We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, where changes are material, take reasonable steps to notify approved users. Changes do not apply retroactively to completed purchases. Continued use after changes take effect constitutes acceptance.
15. Governing law and dispute resolution
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-laws rules. The parties will first attempt in good faith to resolve any dispute informally by contacting support@halcera.com. Any unresolved dispute will be resolved by binding arbitration on an individual basis, administered under the rules of a recognized arbitration body and seated in Wyoming, United States, with judgment on the award enforceable in any court of competent jurisdiction. You and Halcyon One LLC each waive the right to participate in a class action to the extent permitted by law; if this class-action waiver is held unenforceable, that portion is severed and the remainder of this section continues to apply.
16. Miscellaneous
These Terms, together with the Privacy Policy, Refund Policy, AML / KYC Policy, Acceptable Use Policy, and Cookie Policy, are the entire agreement between you and Halcera regarding the Platform. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
